Terms of Use


Locye allows you to openly share with the people around you - as yourself or anonymously. The content you post on Locye is therefore very likely to be visible to members of the public in your area and beyond.

This "Terms of Use" document, hereafter referred to as the "Terms", sets out the terms on which Locye offers you access to and use of our sites, services, mobile applications, and tools (collectively "Services").

By using our Services, you agree to comply with the Terms, which may be amended from time to time in accordance with the section titled "Amendments" below.


1. Privacy

We greatly value your privacy. However, since Locye is intended for publicly sharing your content with the people around you and beyond, there are inherent limitations to the level of privacy that can be afforded without limiting the Services' ability to achieve this principal goal. Nevertheless, we make every effort to enhance your privacy wherever we can.

Below are important disclosures about how you can use Locye to share with others, how we collect and can use your content as well as other information:

  • To make sharing your content with other Locye users in your area and beyond possible, we collect your location as provided by your phone's location services and store that along with your content. We may also use this information to deliver sponsored content such as advertisements to you in the future. Your phone's location service may utilize GPS, cell tower, and/or Wi-Fi to identify its location.
  • We require that you provide your year of birth during the sign-up process to enforce our minimum-age policy as stated in the "Registration and Account Security" section. We may also use this information to verify your identity during the password recovery process in case you lose access to your account. Additionally, we may also use this information to deliver age-appropriate sponsored content such as advertisements.
  • We require that you provide your real name and a verifiable email address. You may also optionally provide a profile photo. We use your email address in conjunction with a password to verify your identity during the sign-in process. We may also use this email address to communicate with you regarding your usage of Locye as well as changes or enhancements to the Locye Services. Your name and profile photo are used to identify you to other users as the author of Locye posts when you choose to post content with your identity. When posting anonymously, we will not display your name and profile photo to other users as long as your usage complies with the Terms stated herein.
  • We may collect information regarding your contacts to support future features as well as introducing Locye Services to your contacts while complying with all applicable laws governing such communications.

We encourage you to use the above information to make prudent decisions.


2. Anonymity

Locye allows you to post anonymously or with your identity. We allow this in order to enhance your freedom of expression so that you can share more freely with the people around you. For anonymous posts, we have designed Locye so that your identity is concealed from other users.

However, as stated in the section titled "Sharing Your Content" below, you are still responsible for all of the content that you post on Locye including content that you share anonymously. To make this possible and to enforce other clauses mentioned in these Terms such as complying with law enforcement requests, we have developed technologies that allow us to identify users behind anonymous posts when we suspect that your usage violates our Terms of Use.

As such, we make no guarantees, expressed or implied that your identity will remain concealed when posting anonymously on Locye in situations where we suspect that you have breached our Terms of Use.

For the vast majority of our users who use Locye in compliance with the Terms expressed in this document, the level of anonymity provided by Locye's anonymous posts feature is more than sufficient for their intended lawful use.


3. Ephemerality

Locye gives you the option to post content that will automatically self-erase after a day.

For posts marked as self-erasing by their authors at the time of posting, we have developed technology to automatically delete such posts after 24 hours of posting. However, technological limitations may prevent us from deleting content that may have been saved offline or in third party systems while it is visible. Such collection of information is in violation of Locye's Terms of Use.

We have made efforts to make such collections difficult; however, we make no guarantees, expressed or implied, that your content will always automatically delete after 24 hours.


4. Sharing Your Content

You own and are responsible for all of the content you share on Locye.

For content that is covered by intellectual property rights, like photos and videos (IP content), you specifically grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with Locye (IP License). This IP License ends when you delete your IP content or if it is automatically deleted due to Locye's ephemerality policies.

When you delete IP content, it is deleted in a multi-stage process. You understand that removed content may persist in backup copies for a reasonable period of time but will not be available to others during this period.

When you publish content on Locye, you are allowing everyone, including people off of Locye, to access and use that information, and when posted as yourself, to associate it with you (i.e., your name and profile picture).

Your feedback about Locye is welcome; however, we may use your feedback without any obligation to compensate you for it just as you have no obligation to offer them.


5. Safety

We do our best to keep Locye safe, but we cannot guarantee it. We need your help to keep Locye safe, which includes the following commitments by you:

  • You will not post unauthorized commercial communications (such as spam) on Locye.
  • You will not collect users' content or information, or otherwise access Locye, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
  • You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on Locye.
  • You will not upload viruses or other malicious code.
  • You will not solicit login information or access an account belonging to someone else.
  • You will not bully, intimidate, or harass any user.
  • You will not post content that: is hate speech, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
  • You will not use Locye to do anything unlawful, misleading, malicious, or discriminatory.
  • You will not do anything that could disable, overburden, or impair the proper working or appearance of Locye, such as a denial of service attack or interference with page rendering or other Locye functionality.
  • You will not facilitate or encourage any violations of these Terms of Use.

6. Registration and Account Security

Locye users provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:

  • You will not provide any false personal information on Locye, or create an account for anyone other than yourself without permission.
  • You will not create more than one personal account.
  • If we disable your account, you will not create another one without our permission.
  • You will not use Locye if you are under 13.
  • You will not use Locye if you are a convicted sex offender.
  • You will keep your contact information accurate and up-to-date.
  • You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
  • You will not use Locye to do anything unlawful, misleading, malicious, or discriminatory.
  • You will not transfer your account to anyone without first getting our written permission.
  • If you select a username or similar identifier for your account, we reserve the right to remove or reclaim it if we believe it is appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).

7. Protecting Other People's Rights

We respect other people's rights, and expect you to do the same.

You will not post content or take any action on Locye that infringes or violates someone else's rights or otherwise violates the law.

We can remove any content or information you post on Locye if we believe that it violates these Terms.

If we remove your content for infringing someone else's copyright, and you believe we removed it by mistake, we will provide you with an opportunity to appeal.

If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.

You will not use our copyrights or Trademarks or any confusingly similar marks.

If you collect information from users, you will: obtain their consent, make it clear you (and not Locye) are the one collecting their information, and post a privacy policy explaining what information you collect and how you will use it.

You will not post anyone's identification documents or sensitive financial information on Locye.


8. Mobile and Other Devices

We provide our mobile services for free, but please be aware that your carrier's normal rates and fees, such as data charges, will still apply.


9. Special Provisions Applicable to Software

If you download or use our software, such as a stand-alone software product, an app, or a browser plugin, you agree that from time to time, the software may download and install upgrades, updates and additional features from us in order to improve, enhance, and further develop the software.

You will not modify, create derivative works of, decompile, or otherwise attempt to extract source code from us, unless you are expressly permitted to do so under an open source license, or we give you express written permission.


10. Amendments

We'll notify you before we make changes to these Terms and give you the opportunity to review the revised Terms before continuing to use our Services.

Your continued use of the Locye Services, following notice of the changes to our terms, policies or guidelines, constitutes your acceptance of our amended terms, policies or guidelines.


11. Termination

If you violate the letter or spirit of these Terms of Use, or otherwise create risk or possible legal exposure for us, we can stop providing all or part of Locye to you. We will notify you by email or at the next time you attempt to access your account. You may also disable your application at any time. In all such cases, these Terms of Use shall continue to apply for the period during which you were actively using Locye.


12. Disputes

You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to these Terms or Locye exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County, and you agree to submit to the personal jurisdiction of such courts for the purpose of litigating all such claims. The laws of the State of California will govern these Terms, as well as any claim that might arise between you and us, without regard to conflict of law provisions.

If anyone brings a claim against us related to your actions, content or information on Locye, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users' actions on Locye and are not responsible for the content or information users transmit or share on Locye. We are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information you may encounter on Locye. We are not responsible for the conduct, whether online or offline, of any user of Locye.


13. Disclaimer of Warranty

Locye's Services are provided on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using the Services and assume any risks associated with Your use.


14. Limitation of Liability

In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law (such as deliberate and grossly negligent acts) or agreed to in writing, shall Locye be liable to You for damages, including any direct, indirect, special, incidental, or consequential damages of any character arising as a result of these Services or out of the use or inability to use the Services (including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses), even if Locye has been advised of the possibility of such damages.


15. Special Provisions Applicable to Users Outside the United States

We strive to respect local laws. The following provisions apply to users and non-users who interact with Locye outside the United States:

You consent to having your personal data transferred to and processed in the United States.

If you are located in a country embargoed by the United States, or are on the U.S. Treasury Department's list of Specially Designated Nationals you will not engage in commercial activities on Locye (such as advertising) or operate our mobile application or website. You will not use Locye if you are prohibited from receiving products, services, or software originating from the United States.


16. Definitions

By "Locye" or "Locye Services" we mean the features and services we make available, including through (a) our website at www.Locye.com and our mobile applications; now existing or later developed.

By "information" we mean facts and other information about you, including actions taken by users and non-users who interact with Locye.

By "content" we mean anything you or other users post, provide or share using Locye Services.

By "data" or "user data" or "user's data" we mean any data, including a user's content or information that you or third parties can retrieve from Locye or provide to Locye.

By "post" we mean notes on Locye or otherwise make available by using Locye.

By "use" we mean use, run, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.

By "Trademarks" we mean the word "Locye" as well as Locye's stylized logo.


17. Other

This Terms of Use document is an agreement between you and Locye c/o Exachain Inc. References to "us," "we," and "our" mean Exachain, Inc.

This Terms of Use document makes up the entire agreement between the parties regarding Locye, and supersedes any prior agreements.

If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect.

If we fail to enforce any of these Terms, it will not be considered a waiver.

Any amendment to or waiver of these Terms must be made in writing and signed by us.

You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.

All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

Nothing in these Terms shall prevent us from complying with the law.

These Terms do not confer any third party beneficiary rights.

We reserve all rights not expressly granted to you.

You will comply with all applicable laws when using or accessing Locye.

By using or accessing Locye Services, you agree that we can collect and use such content and information in accordance with the section titled "Privacy Policy" above as amended from time to time.
